1. DEFINITIONS<\/p>\n
<\/strong><\/p>\n Term Definition<\/p>\n \"Platform\" The Nomadic Studios website, mobile applications, booking systems, and related digital infrastructure<\/p>\n \"Member\" A registered user with an active Nomadic membership subscription<\/p>\n \"Guest\" A non-member user invited or permitted to access Services through a Member<\/p>\n \"Points\" Prepaid service credits issued by Nomadic, redeemable for Services, subject to Section 4<\/p>\n \"Studios\" Production spaces, workspaces, and facilities operated by or affiliated with Nomadic<\/p>\n \"Team Members\" Independent service providers offering services through the Platform<\/p>\n \"Booking\" A confirmed reservation of a studio, event space, equipment, or service<\/p>\n \"Creative Work\" Any original content, media, files, or intellectual property created by Members or Guests using Nomadic facilities, equipment, or services<\/p>\n \"Equipment\" Any tools, gear, hardware, or physical assets provided by Nomadic or available through the Platform, including consumables and accessories<\/p>\n \"Damage\" Any physical harm to Equipment, including loss, theft, destruction, or impairment of function beyond Normal Wear<\/p>\n \"Normal Wear\" Degradation occurring despite proper use, including minor cosmetic blemishes, cable fraying from repeated coiling, and sensor dust<\/p>\n \"Tier 1 Equipment\" Standard equipment available without additional requirements<\/p>\n \"Tier 2 Equipment\" Equipment requiring credit card authorization hold and proof of insurance<\/p>\n \"Tier 3 Equipment\" Equipment requiring authorization hold, insurance, and technician supervision or certification<\/p>\n 2. ELIGIBILITY AND ACCOUNT REGISTRATION<\/p>\n <\/strong><\/p>\n 2.1 Account Creation<\/p>\n <\/strong><\/p>\n To access certain Services, you must create an account on the Platform.<\/p>\n <\/strong><\/p>\n You must:<\/p>\n • Provide accurate and complete information<\/p>\n • Maintain the security of your login credentials<\/p>\n • Promptly update account information as needed<\/p>\n <\/strong><\/p>\n You are responsible for all activities conducted under your account.<\/p>\n <\/strong><\/p>\n 2.2 Age Requirement<\/p>\n <\/strong><\/p>\n You must be at least 18 years old to create an account or use the Services. Minors may access Studios only when accompanied by a Member and subject to additional agreements.<\/p>\n <\/strong><\/p>\n 2.3 Membership Qualification<\/p>\n <\/strong><\/p>\n Membership requires:<\/p>\n <\/strong><\/p>\n (a) Initial Qualification: Applicants must demonstrate active engagement in professional, creative, or production-related activities through portfolios, project documentation, professional credentials, or references. Nomadic may approve or deny applications at its discretion.<\/p>\n <\/strong><\/p>\n (b) Ongoing Engagement: Members must complete at least one Booking every 90 days. Failure to meet this threshold may result in non-renewal at the end of the current billing period.<\/p>\n <\/strong><\/p>\n (c) Misrepresentation: Providing false or misleading information during application constitutes grounds for immediate termination and forfeiture of unused Points.<\/p>\n 3. MEMBERSHIP<\/p>\n <\/strong><\/p>\n 3.1 Membership Plans<\/p>\n <\/strong><\/p>\n Membership tiers, pricing, benefits, booking privileges, and Point allocations are described on the Platform. Nomadic may modify these terms with 30 days' notice, provided that: (a) modifications to membership pricing or core benefits do not materially adversely affect existing Members during their current billing period; (b) Members may cancel without penalty within 14 days of any modification that increases their membership price by more than 25% or removes a core benefit. \"Core benefits\" are those designated as such at tier enrollment and published at [URL]. Benefits not designated as core are ancillary and may be modified or removed without triggering cancellation rights.<\/p>\n <\/strong><\/p>\n 3.2 Billing and Renewal<\/p>\n <\/strong><\/p>\n Memberships automatically renew unless cancelled at least 48 hours before renewal. You authorize Nomadic to charge your payment method for all fees.<\/p>\n <\/strong><\/p>\n 3.3 Cancellation and Refund<\/p>\n <\/strong><\/p>\n (a) Member-Initiated Cancellation: Members may cancel through the Platform. Cancellation stops future billing. No refund for current billing period.<\/p>\n <\/strong><\/p>\n (b) Jurisdiction-Specific Rights: Residents of jurisdictions with mandatory cooling-off periods or cancellation rights retain those rights regardless of (a). Nomadic will honor the longer of: (i) local mandatory period, or (ii) 48 hours from purchase if no Booking made.<\/p>\n <\/strong><\/p>\n (c) Point Persistence: Unused Points remain available until their expiration date following cancellation.<\/p>\n <\/strong><\/p>\n (d) Nomadic-Initiated Termination: If Nomadic terminates for operational reasons, unused membership time and Points will be refunded pro-rata or converted to equivalent value, at Nomadic's election.<\/p>\n <\/strong><\/p>\n 3.4 Suspension and Termination<\/p>\n <\/strong><\/p>\n Nomadic will suspend or terminate accounts for:<\/p>\n (a) Nonpayment or repeated late payments<\/p>\n (b) Illegal conduct threatening safety<\/p>\n (c) Material violation of these Terms<\/p>\n <\/strong><\/p>\n Nomadic may, at its election, suspend or terminate for:<\/p>\n (d) Repeated minor violations after warning<\/p>\n (e) Behavior harmful to community standards<\/p>\n (f) Abuse of booking systems or Points mechanics<\/p>\n <\/strong><\/p>\n Except for emergencies threatening safety or system integrity, Nomadic will provide 7 days' notice and opportunity to cure before termination for conduct violations under (d)-(f).<\/p>\n <\/strong><\/p>\n 3.5 Account Sharing<\/p>\n <\/strong><\/p>\n Accounts are personal. Sharing may result in warnings, suspension, or termination. \"Sharing\" includes allowing others to use your credentials or booking on behalf of non-members to circumvent Guest policies.<\/p>\n 4. POINTS SYSTEM<\/p>\n <\/strong><\/p>\n 4.1 Nature of Points<\/p>\n <\/strong><\/p>\n Points represent prepaid service credits only. They have no monetary value, are not redeemable for cash, and constitute no property interest. Notwithstanding the foregoing, if Nomadic terminates membership for operational reasons under Section 3.3(d) or as required by applicable law, accrued Points convert to a monetary claim valued at the price originally paid per Point, payable within 30 days.<\/p>\n <\/strong><\/p>\n Points:<\/p>\n • Are non-transferable between accounts<\/p>\n • Have no monetary value except as specified above<\/p>\n • Are not stored-value instruments, gift cards, or electronic money<\/p>\n • Do not accrue interest<\/p>\n <\/strong><\/p>\n 4.2 Issuance<\/p>\n <\/strong><\/p>\n Nomadic may modify Point issuance rates with 30 days' notice, provided that: (a) modifications do not reduce issuance rates by more than 25% in any calendar year for existing membership tiers; (b) if multiple modifications occur in a calendar year, the cumulative reduction may not exceed 25%; (c) Members may cancel without penalty within 14 days of any rate modification.<\/p>\n <\/strong><\/p>\n Points may be obtained through membership subscriptions, direct purchase (\"top-ups\"), or promotions.<\/p>\n <\/strong><\/p>\n 4.3 Expiration and Rollover<\/p>\n <\/strong><\/p>\n Expiration rules are defined on the Platform. Nomadic will provide at least 30 days' notice before shortening expiration periods for existing Points.<\/p>\n <\/strong><\/p>\n 4.4 Dynamic Pricing<\/p>\n <\/strong><\/p>\n Point pricing for Services may vary based on demand, availability, time, and operational factors. Confirmed Bookings lock the Point price at confirmation.<\/p>\n <\/strong><\/p>\n 4.5 Prohibited Activities<\/p>\n <\/strong><\/p>\n Users may not:<\/p>\n • Sell, transfer, or barter Points<\/p>\n • Pool Points across accounts<\/p>\n • Resell Bookings or access to Bookings<\/p>\n • Use automated tools to systematically compare and exploit pricing discrepancies between locations for commercial gain<\/p>\n • Represent that Services will be performed in one location when actually performed in another to obtain lower pricing<\/p>\n • Use automated tools, bots, or scripts to reserve Bookings<\/p>\n <\/strong><\/p>\n Violation results in Point forfeiture and account suspension or termination.<\/p>\n 5. BOOKINGS AND RESERVATIONS<\/p>\n <\/strong><\/p>\n 5.1 Booking Windows<\/p>\n <\/strong><\/p>\n Availability and advance booking windows depend on membership tier and are displayed on the Platform.<\/p>\n <\/strong><\/p>\n 5.2 Duration Limits<\/p>\n <\/strong><\/p>\n Each resource defines minimum or maximum booking durations, displayed during booking.<\/p>\n <\/strong><\/p>\n 5.3 Cancellation and Rescheduling<\/p>\n <\/strong><\/p>\n (a) Cancellation Windows: Vary by resource and booking duration. Specific windows are displayed at booking confirmation.<\/p>\n <\/strong><\/p>\n (b) Refunds: Cancellations within the applicable window receive full Point refund. Late cancellations forfeit Points.<\/p>\n <\/strong><\/p>\n (c) Rescheduling: Treated as cancellation of original booking plus new booking. Same window rules apply.<\/p>\n <\/strong><\/p>\n (d) Force Majeure: If cancellation is due to force majeure events preventing Member's attendance, Nomadic will refund Points or, at Member's election, credit equivalent Points for future use. Qualifying documentation includes: medical records or physician statement for illness or injury; government-issued travel restriction or quarantine order; common carrier cancellation confirmation; or police report for accident or crime preventing attendance. Nomadic will respond to documentation submissions within 48 hours.<\/p>\n <\/strong><\/p>\n 5.4 Late Arrival<\/p>\n <\/strong><\/p>\n Bookings begin at scheduled start time and end at scheduled end time regardless of arrival time. Arrival more than 30 minutes late without notice may result in booking cancellation and Point forfeiture.<\/p>\n <\/strong><\/p>\n 5.5 Extensions<\/p>\n <\/strong><\/p>\n Extensions require Platform confirmation before current booking ends. Unconfirmed overtime may result in penalties and liability for disrupting subsequent bookings.<\/p>\n 6. STUDIO USE AND EQUIPMENT<\/p>\n <\/strong><\/p>\n 6.1 Responsible Use<\/p>\n <\/strong><\/p>\n Members must use Studios and Equipment safely, following posted guidelines and staff instructions. Members are responsible for their own conduct and that of their Guests.<\/p>\n <\/strong><\/p>\n 6.2 Equipment Access Tiers<\/p>\n <\/strong><\/p>\n (a) Tier 1 Equipment: Available without additional requirements subject to availability.<\/p>\n <\/strong><\/p>\n (b) Tier 2 Equipment: Requires valid credit card authorization hold and proof of insurance naming Nomadic as additional insured or certificate of insurance for equipment rental.<\/p>\n <\/strong><\/p>\n (c) Tier 3 Equipment: Requires: (i) valid credit card authorization hold of $2,500 or replacement cost, whichever is lower; (ii) proof of insurance naming Nomadic as additional insured with minimum coverage of $50,000 per occurrence; and (iii) Nomadic technician supervision or current Nomadic certification for the specific equipment type.<\/p>\n <\/strong><\/p>\n Equipment tiers are designated on the Platform at booking search and selection, before confirmation. Tier 3 Equipment categories and specific certification requirements are maintained at [URL] with version history. The version effective at the time of booking search is the version applicable to that booking.<\/p>\n <\/strong><\/p>\n 6.3 Damage Assessment and Liability<\/p>\n <\/strong><\/p>\n (a) Member Documentation: Members should document Equipment condition via Platform photo upload before use. Timely documentation creates a rebuttable presumption that Damage not visible in photos occurred during the booking.<\/p>\n <\/strong><\/p>\n (b) Nomadic Documentation: Nomadic maintains pre-booking condition records for Tier 2 and Tier 3 Equipment. If Member does not upload documentation, Nomadic's record governs. If neither party has documentation, Damage is presumed to have occurred during the most recent booking unless Nomadic can demonstrate otherwise by preponderance of evidence.<\/p>\n <\/strong><\/p>\n (c) Technical Failures: If Platform technical issues prevent documentation upload, Member must notify staff immediately to establish alternative documentation method.<\/p>\n <\/strong><\/p>\n (d) Damage Notification: If Damage is identified, Nomadic will notify Member within 24 hours with documentation.<\/p>\n <\/strong><\/p>\n (e) Liability: Members are liable for Damage occurring during their booking, excluding Normal Wear. Liability is joint and several for group bookings.<\/p>\n <\/strong><\/p>\n (f) Valuation:<\/p>\n • Repair: Actual cost of restoration to pre-damage condition<\/p>\n • Replacement: Current market value of equivalent used Equipment, not MSRP<\/p>\n • Depreciation: Calculated using straight-line method over equipment category lifespan: (i) Electronic devices, cameras, computers: 5 years; (ii) Batteries, consumables, accessories: 2 years; (iii) Furniture, fixtures, structural elements: 7 years. Nomadic may specify alternative depreciation for individual items with non-standard wear patterns, disclosed at booking.<\/p>\n <\/strong><\/p>\n (g) Dispute Resolution: For disputes exceeding $500, either party may request assessment by mutually agreed third-party appraiser. Costs split equally; prevailing party's share reimbursed by non-prevailing party.<\/p>\n <\/strong><\/p>\n 6.4 Equipment Unavailability<\/p>\n <\/strong><\/p>\n If reserved Equipment becomes unavailable due to damage, maintenance, or operational issues, Nomadic will:<\/p>\n • Provide substitute Equipment of equal or greater capability if available<\/p>\n • Reschedule the booking<\/p>\n • Refund Points for affected booking time<\/p>\n <\/strong><\/p>\n Nomadic is not liable for production losses, missed deadlines, or consequential damages from Equipment unavailability.<\/p>\n <\/strong><\/p>\n 6.5 Service Levels for Critical Equipment<\/p>\n <\/strong><\/p>\n If confirmed Tier 3 Equipment is unavailable at booking start time despite reservation:<\/p>\n • Full Point refund for affected time<\/p>\n • Credit of equivalent Points for future use<\/p>\n • If unavailability exceeds 50% of multi-day booking, option to terminate remaining booking without penalty<\/p>\n <\/strong><\/p>\n 6.6 Payment Holds and Disputes<\/p>\n <\/strong><\/p>\n (a) Authorization Holds: Nomadic may place authorization holds on payment methods for anticipated charges, including Tier 2\/3 Equipment deposits and estimated Damage liability.<\/p>\n <\/strong><\/p>\n (b) Disputed Charges: If Member disputes a Damage charge or other fee: (i) Nomadic will not charge the disputed amount pending resolution of Section 6.3(g) dispute process; (ii) Member must maintain valid payment method on file; (iii) if dispute resolution finds for Nomadic, Member authorizes immediate charge for determined amount plus dispute processing fee not exceeding $50, applicable only if the arbitrator or appraiser determines the dispute was frivolous or brought in bad faith; (iv) if Member cancels payment method to avoid charge, this constitutes material breach.<\/p>\n <\/strong><\/p>\n (c) Finality: Arbitration or small claims court determinations are binding; Member waives right to payment processor chargebacks for amounts determined owing through dispute process.<\/p>\n 7. EVENTS<\/p>\n <\/strong><\/p>\n 7.1 Types<\/p>\n <\/strong><\/p>\n Events include Nomadic-hosted, member-hosted, and online events.<\/p>\n <\/strong><\/p>\n 7.2 Member-Hosted Events<\/p>\n <\/strong><\/p>\n Members may host events by booking Studios and obtaining Nomadic approval. Hosts are responsible for Guest conduct, event safety, and compliance with applicable laws.<\/p>\n <\/strong><\/p>\n 7.3 Event Access<\/p>\n <\/strong><\/p>\n Invitations and attendance managed through Platform. Public attendees must create Guest accounts.<\/p>\n <\/strong><\/p>\n 7.4 Fees<\/p>\n <\/strong><\/p>\n Nomadic-hosted events may require Points. Member-hosted events may charge external fees but incur Platform guest access fees as specified at booking.<\/p>\n <\/strong><\/p>\n 7.5 Cancellation<\/p>\n <\/strong><\/p>\n Nomadic may cancel events for safety, operational, or regulatory reasons. Liability limited to refund of event access fees or Points.<\/p>\n 8. GUEST POLICY<\/p>\n <\/strong><\/p>\n 8.1 Account Requirement<\/p>\n <\/strong><\/p>\n All Guests must create Guest accounts to access facilities.<\/p>\n <\/strong><\/p>\n 8.2 Access Rules<\/p>\n <\/strong><\/p>\n Guests may access Studios:<\/p>\n • When accompanied by host Member throughout the visit, or<\/p>\n • When approved by Nomadic staff for specific pre-authorized access<\/p>\n <\/strong><\/p>\n 8.3 Guest Liability<\/p>\n <\/strong><\/p>\n (a) General Responsibility: Members are responsible for Guest compliance with these Terms.<\/p>\n <\/strong><\/p>\n (b) Liability Cap: Member liability for Guest-caused Damage or injury is capped at $2,500 per incident, provided the Member: (i) was present or had authorized the Guest's presence; (ii) did not knowingly permit the Guest to violate Terms; (iii) reports the incident within 2 hours of discovery or by booking end, whichever is later.<\/p>\n <\/strong><\/p>\n (c) Exception: No cap applies if Guest conduct is criminal or Member conceals violations.<\/p>\n <\/strong><\/p>\n (d) Insurance: Members may satisfy Guest liability through insurance naming Nomadic as additional insured.<\/p>\n <\/strong><\/p>\n 8.4 Guest Booking<\/p>\n <\/strong><\/p>\n Guests may make same-day bookings subject to availability. Guests may not purchase memberships.<\/p>\n 9. PLATFORM CONDUCT<\/p>\n <\/strong><\/p>\n 9.1 General Standards<\/p>\n <\/strong><\/p>\n Members and Guests must behave respectfully, professionally, and safely.<\/p>\n <\/strong><\/p>\n 9.2 Prohibited Conduct<\/p>\n <\/strong><\/p>\n • Harassment, discrimination, or threatening behavior<\/p>\n • Unauthorized recording or photography of individuals<\/p>\n • Misuse of facilities or Equipment<\/p>\n • Violation of applicable laws<\/p>\n • Interference with others' Creative Work or productivity<\/p>\n <\/strong><\/p>\n 9.3 Confidentiality and IP Respect<\/p>\n <\/strong><\/p>\n (a) Member Creative Work: Members retain all rights to their Creative Work. Nomadic claims no ownership, license, or rights to Creative Work created using Services, except as necessary to provide the Services (e.g., temporary storage for rendering).<\/p>\n <\/strong><\/p>\n (b) Confidentiality of Others' Work: Members must not copy, photograph, distribute, or use others' Creative Work without permission. This obligation survives termination.<\/p>\n <\/strong><\/p>\n (c) Work-in-Progress Respect: Members must not publicly identify or discuss others' unreleased projects observed in shared spaces without consent.<\/p>\n <\/strong><\/p>\n 9.4 Enforcement<\/p>\n <\/strong><\/p>\n Nomadic staff may intervene to enforce safety and community standards. Repeated or serious violations result in suspension or termination.<\/p>\n 10. DATA AND PRIVACY<\/p>\n <\/strong><\/p>\n 10.1 Platform Data<\/p>\n <\/strong><\/p>\n Use of the Platform is subject to Nomadic's Privacy Policy.<\/p>\n <\/strong><\/p>\n 10.2 Creative Work Storage<\/p>\n <\/strong><\/p>\n (a) Temporary Storage: If Nomadic provides file storage, rendering, or processing services, files are retained only as long as technically necessary for the service.<\/p>\n <\/strong><\/p>\n (b) Deletion: Files are securely deleted within 30 days of service completion unless Member requests earlier deletion.<\/p>\n <\/strong><\/p>\n (c) No Backup Obligation: Nomadic does not archive or back up Member Creative Work. Members are solely responsible for maintaining copies.<\/p>\n <\/strong><\/p>\n (d) Data Breach: If unauthorized access to Member Creative Work occurs, Nomadic will notify affected Members within 72 hours of discovery.<\/p>\n 11. LIABILITY AND LIMITATION<\/p>\n <\/strong><\/p>\n 11.1 Excluded Damages<\/p>\n <\/strong><\/p>\n
